Master services agreement (MSA)
A framework contract governing an ongoing relationship, with specific work added via SOWs.
A master services agreement (MSA) sets the overarching terms for an ongoing commercial relationship — payment, IP ownership, confidentiality, warranties, indemnities, and limitation of liability — while individual engagements are documented in separate statements of work (SOWs) that incorporate the MSA.
The MSA/SOW structure lets parties negotiate the hard terms once and add work quickly. Common review points include indemnity scope and liability caps. See the contracts workspace.
