Force majeure

A clause excusing performance when extraordinary events beyond a party's control intervene.

A force majeure clause excuses or suspends a party's contractual performance when defined extraordinary events — natural disasters, war, government action, sometimes pandemics — prevent it. Enforceability turns on the specific drafting: courts read these clauses narrowly and generally require that the event was unforeseeable and that the listed categories cover it.
