Neither party shall be liable for any failure or delay in performance under this Agreement which is due to fire, flood, earthquake, elements of nature or acts of God, acts of war, terrorism, labor strikes, or any other cause which is beyond the reasonable control of such party.

Each party agrees to hold in confidence and not disclose to any third party any confidential information received from the other party, except as required by law or with the prior written consent of the disclosing party.

Either party may terminate this Agreement upon thirty (30) days written notice to the other party. Upon termination, all rights and obligations shall cease, except those that by their nature should survive termination.
